AdaptHealth Corp. Announces Proposed Public Offering of Class A Common Stock

PLYMOUTH MEETING, Pa. -- 

AdaptHealth Corp. (NASDAQ: AHCO) (“AdaptHealth” or the “Company”), a leading provider of home medical equipment, supplies and related services in the United States, announced today that it has commenced an underwritten public offering of 6,500,000 shares of its Class A Common Stock, subject to market and other conditions. In conjunction with the offering, the Company intends to grant to the underwriters a 30-day option to purchase up to 975,000 additional shares of Class A Common Stock. All of the Class A Common Stock is being offered by AdaptHealth.

The Company intends to use the net proceeds from the offering for general corporate purposes, including acquisitions and other business opportunities, capital expenditures and working capital. The closing of the Company’s previously announced acquisitions of Solara Medical Supplies and ActivStyle Holdings LLC is not dependent on the consummation of the offering, and the consummation of the offering is not dependent on the closing of the acquisitions.

Jefferies, Deutsche Bank Securities and UBS Investment Bank are acting as joint book-running managers for the offering. RBC Capital Markets and Stifel are acting as senior co-managers and Canaccord Genuity and Regions Securities LLC are acting as co-managers for the offering.
