Sanatana Closes Flow-Through Portion of Private Placement
Vancouver, British Columbia--(Newsfile Corp. - December 29, 2023) - Sanatana Resources Inc. (TSXV: STA) ("Sanatana" or the "Company") has, further to its news releases dated December 15, 2023, December 19, 2023 and December 27, 2023, closed the second tranche of the Company's previously announced private placement (the "Private Placement") of flow-through units of the Company (the "Units") at a price of $0.10 per Unit. Each Unit consists of one common share in the capital of the Company (a "Share") designated as a flow-through share pursuant to the Income Tax Act (Canada) and one non-flow through Share purchase warrant (a "Warrant"). Each Warrant entitles the holder thereof to purchase one additional Share at a price of $0.15 per Share for a period of 36 months from the date of issuance. The Company has now closed the flow-through portion of the Private Placement.

The Company intends to raise the same amount of up to $1,000,000 from the Private Placement. The Watershed Royalty was granted to Sanatana in connection with an Asset Purchase Agreement between the Company and Trelawney Augen Acquisition Corp., now IAMGOLD Corporation ("IAMGOLD"), dated January 12, 2016, (the "Purchase Agreement") whereby IAMGOLD acquired a 100% interest in 46 mining claims in Chester and Yeo Counties, Ontario (the "Watershed Property").
