TORONTO, April 27, 2020 /CNW/ - The Green Organic Dutchman Holdings Ltd. (the "Company" or "TGOD") (TSX:TGOD) (US:TGODF) is pleased to announce that it has closed its previously announced short form prospectus offering, on a bought deal basis, including the full exercise of the underwriter's over-allotment option. A total of 20,536,700 units of the Company (the "Units") at a price per Unit of $0.28 were issued for aggregate gross proceeds of approximately $5.75 million (the "Offering"). The Offering was conducted by Canaccord Genuity Corp.

Each Unit is comprised of one common share (each a "Common Share") and one-half of one common share purchase warrant of the Company (each whole such warrant, a "Warrant"). Each Warrant entitles the holder to acquire one common share of the Company for a period of 36 months from closing of the transaction at an exercise price of $0.38 per Warrant.

TGOD will use the proceeds of the Offering to develop and launch key product lines including a mainstream-priced organic cannabis flower brand and a line of whole leaf organic cannabis teas, and for general corporate purposes.
