NEW YORK, June 8, 2018 /PRNewswire/ -- WeissLaw LLP is investigating possible breaches of fiduciary duty and other violations of law by the Board of Directors of AV Homes Inc. ("AVHI" or the "Company") (NASDAQ: AVHI) in connection with the proposed acquisition of the Company by fellow home builder Taylor Morrison Home Corp. ("TMHC") (NYSE: TMHC).  Under the terms of the acquisition agreement, AVHI shareholders can elect to receive either: (1) $12.64 in cash and 0.4034 shares of TMHC Class A common stock; or (2) $21.50 in cash, or (3) 0.9793 shares of TMHC Class A common stock for each AVHI share they own.

Moreover, in its latest financial report, the Company announced double-digit growth in net new order value.  AVHI's President and CEO further underscored the Company's strong first quarter performance, stating in part that the Company's "gross margins for the quarter [] have improved sequentially over the past several quarters and [] remain in a strong liquidity position."
